These Terms of Service (the “Engagement Terms”) apply when JOBB GROUP FZE, a Free Zone Establishment licensed by the SRTIP Free Zone Authority, Government of Sharjah (Licence No. 11530), provides professional services to a client. They work together with the proposal, statement of work or order form that we agree with you (each a “Proposal”). If a Proposal conflicts with these Engagement Terms, the Proposal prevails for that engagement.
1. Definitions
- Client or you means the business or person that accepts a Proposal.
- Services means the work described in a Proposal, such as internet marketing, digital content, marketing operations, web platforms or e-commerce services.
- Deliverables means the materials we create and hand over to you as part of the Services.
- Fees means the amounts payable for the Services as set out in the Proposal.
2. Formation of the agreement
An engagement starts when you accept a Proposal in writing (including by email or electronic signature) or when you pay the first invoice, whichever happens first. Quotes are valid for the period stated in the Proposal, or 30 days if no period is stated.
3. Scope and change requests
We will perform the Services described in the Proposal with reasonable skill and care. Work outside that scope — additional channels, markets, languages, revisions beyond the agreed rounds or new features — is treated as a change request. We will confirm the impact on fees and timelines in writing before starting any change.
4. Your responsibilities
- Provide accurate information, approvals, brand assets and access to accounts and systems in good time
- Ensure that materials you supply do not infringe the rights of others and comply with applicable laws, including advertising and consumer-protection rules
- Nominate a decision-maker for approvals
- Pay media, platform and third-party costs that are payable directly by you, unless the Proposal states otherwise
Delays in feedback, approvals or access may affect timelines. Where a delay is caused by the client, we may re-schedule the work and, if the Proposal allows, charge for additional time.
5. Advertising platforms and third parties
Advertising, hosting, software and payment platforms are operated by third parties under their own terms. We do not control their policies, approval decisions, outages or pricing. Media spend is an estimate unless the Proposal states a fixed budget, and platforms may bill you directly.
6. Results
Marketing outcomes depend on many factors outside our control, including market conditions, competition, budgets and platform algorithms. Unless a Proposal expressly sets out a contractual performance commitment, forecasts and targets are estimates and not guarantees.
7. Intellectual property
Once the relevant Fees are paid in full, ownership of the final Deliverables created specifically for you transfers to you, except for third-party materials (such as licensed fonts, stock images or software), which remain subject to their own licences, and our pre-existing tools, templates, know-how and methods, which we license to you on a non-exclusive basis to the extent needed to use the Deliverables. We may describe the engagement in general terms for credentials unless you ask us not to; we will only name you or show your work publicly with your consent.
8. Confidentiality
Each party will keep the other party’s confidential information confidential and use it only for the engagement. This obligation does not apply to information that is public, already known, independently developed or required to be disclosed by law.
9. Data protection
Where we process personal data on your behalf (for example within your CRM or advertising accounts), we act as your processor and will process that data only on your documented instructions, apply appropriate security measures, and assist you with data subject requests, in line with UAE Federal Decree-Law No. 45 of 2021. A separate data processing agreement may be required for some engagements.
10. Fees and payment
Fees, payment milestones and currency are set out in the Proposal. Our Payment, Refund & Cancellation Policy explains invoicing, late payment, refunds and cancellations and forms part of these Engagement Terms.
11. VAT and taxes
Fees exclude value added tax (VAT) and other applicable taxes unless the Proposal states otherwise. Where VAT applies under UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax, it will be charged at the prevailing rate and shown separately on a tax invoice.
12. Warranties
We warrant that we will perform the Services with reasonable skill, care and diligence, using appropriately qualified personnel, and that Deliverables will materially conform to the description in the Proposal at the time of delivery. If a Deliverable does not conform, tell us in writing within 30 days of delivery and we will correct it at no extra cost. Except as stated in these Engagement Terms, all other warranties are excluded to the extent permitted by law.
13. Term and termination
Project engagements end on completion of the Services. Retainers continue for the minimum term in the Proposal and then until either party gives the notice period stated in the Proposal. Either party may terminate immediately by written notice if the other materially breaches these Engagement Terms and does not remedy the breach within 14 days of being asked to do so. On termination, you pay for Services performed up to the termination date and for non-cancellable commitments made on your behalf.
14. Liability
To the extent permitted by UAE law, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability arising from an engagement is limited to the Fees paid for that engagement in the twelve months before the claim, unless the Proposal states otherwise. Nothing limits liability that cannot be limited by law.
15. Force majeure
Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, government action, widespread internet or platform outages, or utility failures. The affected party will notify the other and take reasonable steps to minimise the impact.
16. Governing law and disputes
These Engagement Terms are governed by the laws of the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates. The parties will first try to resolve any dispute through good-faith discussion between senior representatives. If the dispute is not resolved within 30 days, it may be referred to the competent courts of the Emirate of Sharjah, unless the Proposal specifies another forum.
